Talent management provider LiveHire (ASX: LVH) has appointed financial expert Andrew Rutherford as an independent non-executive director of the board.

Mr Rutherford is a certified practicing accountant and holds a Masters degree from the Australian Graduate School of Management as well as a Bachelor of Commerce degree from the University of New South Wales.

He is a graduate of the Australian Institute of Company Directors and a senior fellow of the Financial Services Institute of Australasia.

Mr Rutherford’s 37-year career includes a variety of leadership positions within the finance and accounting fields.

His resume includes a six-year role as founder, chief operating officer and chief financial officer for Koda Capital; two years as general manager for National Australia Bank’s (ASX: NAB) MLC Wealth division (since sold to Insignia Financial); and four years as executive director and chief operating officer of Goldman Sachs Australia’s wealth division.

He is also a director for BT Financial Group, Pitcher Partners Sydney Wealth Management and global fintech 1derful Pty Ltd.

Accomplished leader

LiveHire chairman Michael Rennie welcomed Mr Rutherford to the company.

Mr Rennie said Mr Rutherford would also chair LiveHire’s audit and risk committee (ARC).

Mr Rutherford said he was pleased to be joining the LiveHire board at an “exciting time” in the company’s development.

“I believe in the ability of technology to transform business processes and the lives of the hundreds of thousands of users of LiveHire’s solutions,” he said.

Remuneration

Mr Rutherford’s remuneration for services to LiveHire will comprise an annual cash fee of $70,000 (excluding superannuation) and an annual equity grant valued at $30,000 in the form of service rights which can be converted into ordinary LiveHire shares subject to service-based milestones.

He has been issued with 99,265 service rights under LiveHire’s employee incentive plan through to 30 June 2023.

LiveHire has also agreed to issue future service rights beyond July 2023, subject to shareholder approval and Mr Rutherford’s continued tenure at the date of issue for each tranche.

Mr Rutherford will receive an additional annual cash fee of $10,000 (including superannuation) for his role as ARC chair.
