Critical Resources (ASX: CRR) has secured exclusivity and agreed key commercial terms to acquire a 90% interest in the Gonini gold project, covering about 164 square kilometres of granted exploitation rights in Suriname.
Spanning two tenements within the Sara Creek district’s Marowijne Greenstone Belt, the proposed acquisition is structured around staged cash and share consideration, deferred payments, and a five-year exploration commitment.
Completion remains subject to legal, title, and technical due diligence, required approvals, and execution of formal acquisition and shareholders’ agreements within the agreed exclusivity process.
Gonini has an extensive artisanal mining footprint but no record of modern systematic exploration across the rights, with Critical Resources reporting no Exploration Results, Mineral Resources or Ore Reserves for the project.
Granted Tenure Opportunity
Granted in August 2015 for 15 years, the two exploitation rights run to August 2030 with extensions available on application lodged at least two years before expiry.
The tenure allows exploration, mining, processing, and sale of minerals subject to applicable approvals and obligations, giving Critical Resources a platform to progress exploration without first converting an exploration right.

Reduced Upfront Commitment
Critical Resources will pay US$50,000 on execution of a binding term sheet, with a previously paid US$40,000 non-refundable exclusivity payment deducted from that amount.
On completion, the company will pay US$200,000 cash and issue 10 million shares, followed by deferred cash consideration totalling US$1.75 million across years two to five.
The negotiated terms also require US$2.5m of exploration expenditure over five years, while the vendor will retain a 10% free-carried interest to a Decision to Mine and a 2% net smelter return (NSR) royalty.
Critical Resources may buy back the full NSR for US$2m, while failure to meet deferred payments, exploration expenditure, or other material terms would trigger reversion of its 90% interest to the vendor.
Systematic Exploration First
Initial work will include site and community engagement, channel sampling of artisanal pit walls and weathered rock exposures, and systematic geochemistry designed to identify coherent anomalies.
Follow-up work is expected to combine infill and auger sampling, trenching, and targeted geophysics to refine structural and geological targets before drilling.
Critical Resources intends Gonini to form the foundation of a broader regional gold strategy, with MrWither pointing out “the recent trajectory of Suriname explorers demonstrates what systematic modern exploration can potentially unlock.”
