Codeifai (ASX: CDE) has completed its AUD 1.3 million acquisition of AntennaTransfer.io to enter the AI-backed quantum security market.
This strategic move integrates quantum-resilient infrastructure into its QR-code ecosystem.
The consideration for the acquisition comprised AUD 1.15 million in Codeifai shares and AUD 0.15 million cash.
AntennaTransfer.io (which is to be rebranded as QuantumAI Secure) leverages quantum key distribution (QKD) and post-quantum cryptography (PQC) to facilitate quantum-secure payments, file transfers, and messaging.
The QuantumAI Secure platform is designed for straightforward integration with existing APIs, Buy Now Pay Later (BNPL) gateways, and cryptocurrency payment portals.
The acquisition was completed on 16 February 2026, following shareholder approval obtained on 8 December 2025.
The share consideration is subject to an escrow schedule: 33% at closing, 33% after three months, and 34% after six months.
Strategic Expansion Into Quantum Security
This acquisition significantly enhances Codeifai's existing AI-augmented QR-code ecosystem by integrating quantum-resilient infrastructure.
The company aims to unlock new cross-sell opportunities across various sectors. These include security, defence, mining, and agriculture.
Codeifai plans to utilise its established QR-based platform to deliver end-to-end quantum-resilient solutions.
Funding and Shareholder Considerations
Codeifai recently completed an AUD 1.1 million placement on 23 January 2026.
This involved the issue of 144,736,842 shares at AUD 0.0076 per share.
The funds from this placement were earmarked for business development, commercialisation of the QuantumAI Secure platform, and working capital.
Both the recent placement and the share consideration for the acquisition introduce potential dilution risk for existing shareholders.
SaaS and AI Capability Growth
Codeifai had previously announced a strategic shift towards a high-margin, self-service SaaS model through its ConnectQR platform.
The company launched GS1 Digital Link functionality within ConnectQR.
This enables GS1-compliant 2D codes and supports a premium subscription tier, priced at US$34.99 per month.
Codeifai is also exploring the expansion of its AI capabilities into geospatial and subsurface workflows.
